Terms of Service

These terms are an agreement between Northeast Growth Solutions LLC ("NGS", "we", "us"), a New York limited liability company, and the business that signs up for our services ("you", the "client"). By paying for, signing up for or using our services you agree to these terms. The person accepting them confirms they have authority to bind the business.
Our Privacy Policy explains how we handle personal information. Section 9 sets out how we process your customers' data on your behalf.
1. The services
We provide local marketing services for service businesses, delivered through our platform and by our staff, according to the plan you choose: review requests, Google Business Profile management, SEO audits and improvements, AI search and competitor monitoring, landing pages, website builds and hosting, an AI website assistant (chatbot), streaming TV ad management and video production. The features in each plan are listed on our pricing page at the time you sign up.
We may improve or change features. We will not materially reduce what your current plan includes during a paid billing period.
2. Your responsibilities
- Accurate information. The business facts you give us (services, prices, hours, service area, licenses, credentials, photos) must be true and yours to use. Our content, including AI-drafted content, is built from them.
- Permission to contact your customers. You will only give us customers who have agreed to be contacted by you by text message and email, and you are responsible for that consent under the Telephone Consumer Protection Act, CAN-SPAM and similar laws. We honor every opt-out across the platform.
- Honest reviews. Our review requests go to every customer you give us and always show the public review link. You will not offer incentives for reviews, post reviews yourself, or ask us to filter who is asked based on whether they are likely to be happy. These practices violate Google's policies and the FTC's rules on consumer reviews.
- Account access. You are responsible for keeping sign-in links and any access you grant us (for example, website or Google Business Profile access) secure, and for telling us when someone should lose access.
- Lawful use. You will not use the services for anything unlawful, deceptive or infringing.
3. AI features
Some features use artificial intelligence: drafting review responses, website and landing-page copy, recap summaries and SEO fixes, answering questions in the website assistant, and checking how AI search tools describe your business.
- General information only. AI features produce general information based on the business information you supply. They are not professional, legal, safety or financial advice, and they can be wrong or incomplete.
- You review and approve what the assistant knows. You are responsible for reviewing and approving the business information the website assistant is given (services, prices, hours, policies, service area) and for telling us promptly when it changes. The assistant follows fixed safety rules that you cannot change; for example, it points anyone describing a possible emergency to call emergency services.
- Drafts are reviewed before use. AI-drafted content is reviewed by NGS, and where the service calls for it by you, before it is published or sent. Live website-assistant answers are generated in real time and are not individually reviewed.
- No liability for how people act on AI output. NGS is not liable for decisions or actions your customers or other people take based on AI-generated output, including assistant answers, except to the extent the law does not allow this to be excluded.
- Monitoring results are estimates. AI search monitoring reports what AI tools answered at the time we asked. Those tools change constantly, and we do not control what they say.
4. Results
We work to improve your visibility, reviews and leads, but search rankings, review counts, map placement, AI answers and lead volume depend on Google, other platforms and your market. We do not guarantee any ranking, number of reviews, leads or revenue. Third-party platforms may change their rules or features, suspend listings, or remove reviews; we are not responsible for their decisions.
5. Fees and billing
- Subscriptions. Plans are billed monthly or annually in advance through Stripe and renew automatically at the end of each period until cancelled. Prices are in U.S. dollars and exclude any applicable taxes.
- Introductory discount. Monthly plans receive 50% off the first month. Annual plans are priced at ten months for twelve.
- Upgrades take effect immediately and are charged for the rest of the current period, pro-rated at the annual effective rate. Downgrades, and removing an add-on, take effect at renewal.
- One-time work (website setup, video production, website update requests beyond those included) is invoiced separately and due within 14 days. Website hosting includes two content update requests per calendar month; each additional request is $50.
- Failed payments. If a payment fails, Stripe retries it and we notify you. If it is still unpaid 7 days after the first failure, we pause your services until it is paid; paused services include review requests, landing pages and hosted websites. Services resume when the balance is paid.
- Price changes apply from your next renewal, with at least 30 days' notice by email.
6. Cancellation
You may cancel at any time by emailing hello@northeastgrowthsolutions.com or through the billing portal in your dashboard. Cancellation takes effect at the end of the current paid period, and services run until then. Fees already paid are not refunded, including for a partial period, except where required by law.
We may suspend or end services if you materially breach these terms (including the review and consent rules in section 2) and do not fix the breach within 10 days of notice, or immediately if continuing would break the law or a platform's rules.
When services end, landing pages and websites hosted by NGS go offline. Your domain name stays yours; point it elsewhere when you are ready. Section 9 explains what happens to your data.
7. Ownership
- Your content — business information, logos, photos, and the finished copy on your pages — remains yours. You give us a license to use it to provide the services, and to show your business name and public results as a client example unless you tell us not to.
- Our platform — software, templates, designs, audit methods and report formats — remains ours. While you subscribe, you may use the websites, pages and reports we produce for your business. Website templates are licensed for use while hosted with us; on request after cancellation we will provide your page text and images.
8. Warranties and limits of liability
We will provide the services with reasonable skill and care. Apart from that, the services are provided "as is", and we disclaim all other warranties to the extent the law allows, including fitness for a particular purpose.
To the extent the law allows, neither party is liable to the other for lost profits, lost revenue, lost data or indirect, incidental or consequential damages, and NGS's total liability for all claims relating to the services is limited to the fees you paid in the 12 months before the claim arose.
You will defend and indemnify NGS against third-party claims arising from the information and content you supply, messages sent to customers you gave us without their consent, or your breach of section 2.
9. Customer data processing
When we handle personal information about your customers (names, phone numbers, email addresses, feedback, lead and chat details), you decide why it is collected and we process it on your behalf, as your service provider.
- Instructions. We use your customers' information only to provide the services to you, as these terms describe, or as the law requires. We do not sell it or use it for our own marketing or for other clients.
- People and providers. Access is limited to NGS staff who need it. We use the service providers listed in our Privacy Policy, under terms that protect the data at least as well as these terms, and remain responsible for them.
- Security. We keep appropriate technical and organizational safeguards, including encryption in transit, per-client access controls and encryption of stored credentials.
- Breaches. If we confirm a security breach affecting your customers' information, we will tell you without undue delay, and within 72 hours of confirmation, with the information you need to meet your own notification duties under New York law.
- Requests from your customers. We will help you answer requests to access, correct or delete a customer's information. Opt-outs are honored immediately.
- On cancellation. For 30 days after services end you may request an export of your customer list, review requests and feedback, and leads, as CSV files. After that, we delete your customers' personal information within 90 days of the end of services, except records we must keep by law (such as billing records) and opt-out records needed to keep honoring STOP. Backups containing deleted data are overwritten on their normal cycle.
10. General
These terms are governed by the laws of the State of New York. Any dispute will be brought in the state or federal courts located in Schenectady County or the Northern District of New York, and both parties consent to that venue.
We may update these terms. Changes take effect at your next renewal, or 30 days after we email them, whichever is later; continuing to use the services after that is acceptance. Neither party is responsible for delays caused by events outside its reasonable control. If any part of these terms is unenforceable, the rest remains in effect. These terms, the pricing page and any written order are the entire agreement on this subject.
